About these Terms and Conditions

This Agreement sets out the terms and conditions governing your participation in the Amber Lounge Group Affiliate Programme. It is a legal contract between you (“Affiliate”, “you”) and Amber Lounge Group (“Amber Lounge”, “we”, “us”, or “our”). By enrolling digitally or confirming participation via electronic means, you agree to comply with the terms set out below.

Overview

This Agreement outlines how Amber Lounge and the Affiliate will work together, the obligations of both parties, and the terms of participation in the Amber Lounge Affiliate Programme (“Affiliate Programme”). Participation is conditional upon your full acceptance of this Agreement.

Amber Lounge may amend or replace this Agreement at any time. Any changes will be communicated via electronic means (for example, through our Affiliate Tool, by email, or via third-party affiliate platforms such as AWIN). Continued participation in the Programme after notification constitutes acceptance of the updated terms.

Definitions

Affiliate Programme means the incentive programme operated by Amber Lounge Group for the referral and sale of Amber Lounge products and services.

Affiliate Lead means a potential customer who clicks an Affiliate Link provided through the Affiliate Tool or a recognised third-party network such as AWIN.

Affiliate Link means the unique tracking link or code issued to you by Amber Lounge or through a recognised affiliate platform.

Affiliate Policies means any operational or compliance policies we publish or provide from time to time in relation to the Affiliate Programme.

Affiliate Tool means the online system(s) used by Amber Lounge and its partners (including but not limited to internal tracking software, AWIN, or other third-party affiliate networks) to track, verify, and manage Affiliate activity.

Commission means the amount payable to you for each confirmed qualifying sale made through your Affiliate Link, as detailed in this Agreement.

Customer means an individual or organisation who purchases Amber Lounge products or services following referral through your Affiliate Link.

Customer Transaction means a completed and verified purchase of an Amber Lounge product or service by a Customer that qualifies for a Commission.

Products or Services mean all goods, packages, tickets, hospitality, accommodation, experiences, and merchandise offered by Amber Lounge.

Tracking Period means the 30-day period following the first click on your Affiliate Link during which a purchase by that visitor may qualify for a Commission.

Programme Policies Page means the page or portal where Amber Lounge provides current affiliate policies and guidelines.

Non-Exclusivity

This Agreement is non-exclusive. Both parties may enter into similar arrangements with others, including competing programmes, without restriction.

Affiliate Acceptance and Eligibility

You must submit an application to join the Affiliate Programme. Amber Lounge reserves the right to approve or reject any application at its sole discretion. We may contact you for additional information before approval. If you do not receive acceptance within thirty (30) days of your application, it will be deemed rejected.

Upon acceptance, this Agreement takes full effect. You must meet any ongoing eligibility requirements stated in our Affiliate Policies or communicated via the Affiliate Tool. Failure to comply may result in termination.

Participation in this Programme does not constitute membership in any other Amber Lounge partnership, sponsorship, or representation scheme.

Customer Transactions

Commission Eligibility

You are eligible for a Commission only when:

  • A Customer purchases an Amber Lounge product or service within the 30-day Tracking Period after clicking your valid Affiliate Link.
  • The purchase is confirmed, paid in full, and not refunded or cancelled.
  • You remain compliant with this Agreement and all Affiliate Policies at the time of payment.
  • The purchase is not under your own name unless previously agreed.

Commission Rate

The Commission rate is 8% of the total value of each confirmed sale (exclusive of taxes, service charges, and any external processing fees).

Tracking and Attribution

Amber Lounge’s internal tracking system, together with any approved third-party affiliate platform such as AWIN, will determine the validity and attribution of all Affiliate Leads. In competitive cases, Amber Lounge reserves the right to determine which Affiliate is credited for a sale.

Expiry of Leads

Affiliate Leads expire after thirty (30) days from the first click on the Affiliate Link. Sales completed after this period will not qualify for Commission.

No Self-Purchases

You may not use your own Affiliate Link to purchase Amber Lounge products or services for yourself, your company, or any entity in which you hold a direct interest. Such transactions will not qualify for Commission and may result in termination from the Programme.

Payment Method and Timing

Commissions are paid via bank transfer only. There is no minimum payout threshold. Payments are issued once sales have been verified as complete and non-refundable. Payment timing may vary depending on event confirmation and operational processing, but Amber Lounge aims to remit payments within sixty (60) days of a verified sale.

Taxes

You are responsible for any taxes, duties, or bank fees applicable to Commission payments in your jurisdiction.

Training and Support

Amber Lounge may make available marketing assets, digital media, webinars, or other training resources. These are optional and may be modified or withdrawn at any time without notice.

Trademarks and Branding

You grant Amber Lounge a non-exclusive, royalty-free right to use your name and logo (“Affiliate Marks”) in connection with the Affiliate Programme.

Amber Lounge may make its brand assets available for your use under this Agreement. You must:

  • Use only the official versions supplied.
  • Comply with Amber Lounge’s Brand and Trademark Usage Guidelines.
  • Use them solely for approved Affiliate activities.
  • Remove all Amber Lounge branding immediately upon termination of this Agreement.

You may not use Amber Lounge trademarks in any misleading, disparaging, or unlawful manner, nor in paid advertising that could be considered competitive with Amber Lounge’s own campaigns.

Proprietary Rights

All intellectual property rights in Amber Lounge’s content, materials, and products remain the exclusive property of Amber Lounge Group or its licensors. No rights are granted other than those expressly stated in this Agreement.

You may not copy, reproduce, or distribute Amber Lounge materials except as expressly authorised in writing.

Confidentiality

Each party agrees to protect the other’s confidential information using reasonable care, not to disclose it to third parties, and to use it only for the purposes of this Agreement. Confidential information does not include publicly available data or information already lawfully in possession of the receiving party.

Data Protection

Both parties will comply with applicable data protection laws. Any personal data exchanged under this Agreement will be processed as independent controllers for the legitimate purpose of administering the Affiliate Programme.

Amber Lounge may use third-party platforms (including AWIN and other partners) to process or verify affiliate data in accordance with applicable laws.

Term and Termination

This Agreement remains in force for as long as you participate in the Affiliate Programme, unless terminated earlier.

  • Termination without cause: Either party may terminate with fifteen (15) days’ written notice.
  • Termination for breach: Amber Lounge may terminate immediately if you breach any material term, engage in fraudulent activity, or act in a manner that may harm Amber Lounge’s reputation.
  • Termination for updates: If you do not agree to updated terms, you may terminate by written notice within five (5) days of receiving notice of the change.

Upon termination, you must immediately cease using Amber Lounge trademarks, Affiliate Links, and marketing materials.

Commissions will only be paid for eligible sales recognised by Amber Lounge within thirty (30) days after termination.

Representations and Warranties

You represent and warrant that:

  • You have the legal right and authority to enter into this Agreement.
  • Your participation will not breach any existing contract.
  • You will comply with all advertising, privacy, and consumer protection laws.
  • You will not engage in false, misleading, or unethical marketing.
  • You will not use cookie stuffing, bots, pop-ups, or any automated means to generate clicks or leads.
  • You will not mask referring URLs or misrepresent the source of traffic.
  • You will not use your Affiliate Link for self-purchases or internal company use unless previously agreed with Amber Lounge.

Indemnification

You agree to indemnify and hold harmless Amber Lounge Group, its officers, directors, employees, and agents from any claim, loss, or liability arising out of your participation in the Affiliate Programme, your breach of this Agreement, or misuse of Amber Lounge’s intellectual property or confidential information.

Disclaimers and Limitation of Liability

Amber Lounge provides the Affiliate Programme “as is” without warranties of any kind. We make no representations regarding availability, accuracy, or uninterrupted operation of the Affiliate Tool or tracking systems.

To the fullest extent permitted by law:

  • Amber Lounge shall not be liable for any indirect or consequential damages, including lost profits.
  • Amber Lounge’s total aggregate liability under this Agreement shall not exceed the total Commissions actually paid to you in the twelve (12) months preceding the event giving rise to the claim.

General Provisions

Amendment

Amber Lounge may update or replace this Agreement at any time. Updated versions will be communicated electronically and become effective immediately upon notification.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any disputes shall be submitted exclusively to the courts of Singapore.

Force Majeure

Neither party will be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, government action, or internet outages.

Relationship

Nothing in this Agreement creates a partnership, joint venture, or employment relationship. The Affiliate acts as an independent contractor.

Assignment

You may not assign or transfer your rights under this Agreement without Amber Lounge’s prior written consent.

Severability

If any clause is found invalid, the remainder of the Agreement shall remain in full effect.

Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Affiliate Programme and supersedes all previous understandings or representations.

Notices

All notices shall be sent electronically to the email addresses provided by each party.

Acceptance

By enrolling digitally or confirming participation via electronic means, you acknowledge that you have read, understood, and agreed to these terms and conditions in full.
